Please read these terms carefully before engaging Cvorix for AI automation services. By working with us, you agree to these terms.

Last updated: February 2025

1. Agreement to Terms

These Terms and Conditions ("Terms") govern your use of the Cvorix website at cvorix.com and your engagement of our AI automation services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

Cvorix is operated by a team based in Islamabad, Pakistan. References to "Cvorix", "we", "us", or "our" refer to Cvorix and its team members.

2. Services

2.1 Scope of Services

Cvorix provides AI automation services including but not limited to:

  • AI workflow automation and integration
  • AI transformation consulting and strategy
  • AI-native web application development
  • Vertical AI SaaS product development

2.2 Service Agreements

Specific services, deliverables, timelines, pricing, and payment terms are agreed upon in individual project proposals or service agreements provided to each client. Those agreements supplement and form part of these Terms. In case of conflict, the specific service agreement prevails.

3. Payment Terms

  • Payment terms are specified in each project proposal
  • Invoices are due within 14 days of issue unless otherwise agreed in writing
  • Late payments may incur interest at 2% per month on the outstanding balance
  • We reserve the right to pause work on projects with overdue invoices
  • All fees are quoted in USD unless otherwise stated

4. Intellectual Property

4.1 Client-Owned Deliverables

Upon full payment of all fees, Cvorix assigns to the client all intellectual property rights in the custom work product created specifically for that client, including custom code, designs, and written content delivered under the project.

4.2 Retained by Cvorix

Cvorix retains ownership of:

  • Pre-existing tools, frameworks, libraries, and methodologies used in delivering services
  • General knowledge, skills, and expertise developed through our work
  • Any work product for which payment has not been received in full

4.3 Website Content

All content on the Cvorix website — including text, graphics, logos, and case study descriptions — is owned by Cvorix and may not be reproduced without written permission.

5. Confidentiality

Both parties agree to keep confidential any proprietary, business, or technical information disclosed during the engagement. This obligation survives termination of the service agreement for a period of two years. We will not disclose client business processes, data, or results without explicit written consent, except as required by law.

6. Client Responsibilities

To enable us to deliver services effectively, clients agree to:

  • Provide accurate and complete information about their business processes
  • Make relevant personnel available for discovery and feedback sessions
  • Provide timely access to systems, data, and tools required for the project
  • Review and approve deliverables within agreed timeframes
  • Ensure any data provided to us is obtained and shared lawfully

7. Limitation of Liability

To the maximum extent permitted by applicable law, Cvorix's total liability to any client for any claims arising from a service engagement shall not exceed the total fees paid by that client in the three months preceding the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.

8. Warranties and Disclaimers

We warrant that services will be performed with reasonable skill and care. We do not warrant that our services will achieve any specific business outcome, ROI figure, or result. AI systems involve inherent uncertainty and results may vary based on factors outside our control, including the quality of client data and processes.

9. Termination

Either party may terminate a service agreement with 14 days written notice. Upon termination, the client is responsible for fees for work completed up to the termination date. Work product completed and paid for will be delivered; incomplete work product remains with Cvorix until the corresponding fees are settled.

10. Governing Law

These Terms are governed by the laws of Pakistan. For UK and Australian clients, we aim to comply with applicable consumer protection laws in your jurisdiction. Any disputes will first be addressed through good-faith negotiation.

11. Changes to Terms

We may update these Terms from time to time. Continued use of our website or services after changes constitutes acceptance. Material changes will be communicated to active clients via email.
